Thank you to everyone who joined Sidley and Goldman Sachs in our New York office last week for our Annual Thanksgiving Meal Pack in support of New York Common Pantry’s Thanksgiving distribution. As part of Sidley’s Corporate Responsibility Program and Goldman’s Community TeamWorks Program, volunteers from Sidley and Goldman Sachs pitched in to assemble and donate more than 1,200 family meal packs of Thanksgiving  staples for the Pantry — New York City’s largest community-based food pantry serving underserved communities throughout the city. These bags will be paired with a turkey, produce, and shelf-stable goods as part of the Pantry’s distribution of Thanksgiving meals. Sidley is a proud, longstanding supporter of the Pantry, and we are especially thankful for all who came together to support neighbors in need this holiday season.

Sidley represented Wpromote, a full-service digital marketing agency backed by private equity firm ZMC, in its acquisition of creative media and experiential agency Giant Spoon. Sidley successfully secured the dismissal of an adversary proceeding filed against Harvest Sherwood Food Distributors, Inc. and its affiliates  by Blakemore Investments LLC and Milwaukee Investments LP. Harvest Sherwood was the largest independent food distributor in the United States and served thousands of retailers and foodservice clients, generated approximately US$4 billion in annual revenue. The company filed for chapter 11 protection on May 5, 2025, in the Northern District of Texas to maximize the value of estate assets and support an equitable and transparent recovery for all stakeholders. Sidley represented Americor, a leading provider of consumer financial services, in the closing of AMDR ABS Trust 2025-1 — a US$153.15 million asset-backed securitization (ABS) collateralized by debt-settlement (DS) fees. This transaction is the company’s first securitization backed by DS fees and, to Americor’s knowledge, the first-ever rated ABS of its kind.    The Sidley team is led by T.J. Sidley welcomes Stephen Fox and Peter Boulle, who have joined the firm’s Investment Funds global practice group in London.   Mr. Fox and Mr. Boulle join the Private Funds team in London shortly after the arrival of Ed Gander. They join an extensive cross-practice funds group in London (including partners Oren Gertner, Blake Fillion, and EU/UK Financial Services and Regulatory funds head Leonard Ng), offering a fully integrated platform for clients.   Their practices focus on advising fund managers on their capital-raising activities across asset classes, including private equity, venture capital, infrastructure and energy, real estate, and credit. In addition, they advise on the full spectrum of matters arising throughout the lifecycle of the funds and other investment arrangements that their clients manage, including co-investment arrangements and GP-led secondary transactions. Sidley is honored to receive the Pioneering Spirit Award at the 2025 GRR Awards for our work advising Sino Ocean on its landmark US$6B offshore debt restructuring. This restructuring is the first-ever “cram across” in which Hong Kong-governed debt was used to cram down English law-governed debt through a twin Part 26A Restructuring Plan and Hong Kong scheme of arrangement, and the first time that a company in the China real estate sector has used an English Restructuring Plan.
